ARTICLES of Incorporation of the undersigned, a majority whom are citizens of the United States, and at least two of whom are citizens of the State of Texas, desiring to form a non-profit corporation under the non-profit corporation Law of the State of Texas pursuant to article 1396-3.02 of the Texas nonprofit Act, (VOLUME 3, VERNON'S TEXAS CIVIL LAW STATUTES) do hereby certify:
ARTICLE ONE
The name of the corporation is: Texas Association of Hostage Negotiators.
ARTICLE TWO
The Corporation is a nonprofit Corporation as directed in the section 1396-3.02 of the Texas Nonprofit Corporation Act.
ARTICLE THREE
The period of its duration is perpetual.
ARTICLE FOUR
The purpose or purposes for which the corporation is formed are exclusively charitable and educational within the meaning of section 501(c)(3) of the Internal Revenue Code Of 1986, as now in effect or as it may hereafter be amended. In furtherance of these purposes, the corporation is authorized to receive property by gift, or bequest and to invest and reinvest the same, and to apply the income and principle thereof as the Board of Directors may from time to time determine, either directly or through contributions to any charitable organization or organizations exclusively for charitable and educational purposes, to engage in any and all lawful activities incidental thereto as restricted herein.
In furtherance of its corporate purposes, the corporation shall have all the general powers enumerated in Article 1396-2.02. Paragraph A, of the Texas Nonprofit Corporation Act, Together with the power to solicit grants and contributions for its corporate purposes.
ARTICLE FIVE
No part of the net earnings of the corporation shall inure to the benefit of. or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in article Four hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation. and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements ) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or (b) by a corporation' contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.
ARTICLE SIX
Upon the dissolution of the corporation, assets 011 be distributed for one or more exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the county in which the principal office of the corporation is then located exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.
ARTICLE SEVEN
The place in this state where the principal office of this corporation is to be located is P.O. Box 742434. City of Dallas, Dallas County, Texas, and the name of the registered agent is Bill Browne.
ARTICLE EIGHT
The number of directors constituting the officers of the corporation is six (6) and the names and addresses of the persons who are to serve as the directors are:
